Explanation:

1. In its second and third private placements of 2021, the Company conducted cash capital increases by issuing 83,000,000 and 117,000,000 common shares, respectively, each with a par value of NT$10. The subsequent public offering of the aforesaid privately placed common shares has been approved and declared effective by the Taiwan Stock Exchange Corporation pursuant to Letter No. 1131805669 dated December 10, 2024.
   
   
2. The following listing-related matters are hereby announced:
   (1). Shares already listed: 839,988,000 common shares (including 319,235,534 shares issued through private placements), each with a par value of NT$10, amounting to NT$8,399,880,000 in total.
   
   (2). Shares to be listed for public offering of privately placed common shares: 200,000,000 common shares, each with a par value of NT$10, amounting to NT$2,000,000,000 in total.
   
   (3). Total number of listed shares after the public offering of privately placed common shares: 839,988,000 common shares (including 119,235,534 shares issued through private placements), each with a par value of NT$10, amounting to NT$8,399,880,000 in total.
   
   (4). Date of commencement of trading on the stock exchange: The aforesaid 200,000,000 privately placed common shares, upon approval by the Taiwan Stock Exchange Corporation, will be officially listed and commence trading on December 20, 2024.
   
   
3. The rights and obligations of the aforesaid common shares publicly offered in this case shall be identical to those of the already issued and listed common shares, and they will be issued in dematerialized form.
